Article 1 (Definitions)

In these Terms, the following terms have the meanings set out below.

  1. “the Company” (also “we”) means Value Inc., which operates the Service.
  2. “the Service” means “FormEdge”, the form creation and management service provided by the Company.
  3. “Tenant” means a corporation or sole proprietor that creates and manages forms using the Service.
  4. “End User” means a third party who responds to a form created by a Tenant.
  5. “Submission Data” means the data entered and submitted to a form by an End User.
  6. “Account” means the right of use registered by a Tenant in order to use the Service.
  7. “Attribution Notice” means a notice displayed by the Service indicating its provider, such as “Powered by FormEdge”.

Article 2 (Acceptance of these Terms)

By registering to use the Service, a Tenant is deemed to have agreed to all provisions of these Terms.

A party that does not agree to these Terms may not use the Service.

Where the Tenant is a corporation, these Terms shall be accepted by a person authorised to represent that corporation.

A Tenant shall use the Service for the purposes of its own business.

Article 3 (Registration)

A Tenant wishing to use the Service shall register in the manner prescribed by the Company.

The Company may refuse registration in any of the following cases.

  1. The registration details contain false information.
  2. The applicant has previously breached these Terms.
  3. The applicant is an organised crime group or a person related to such a group.
  4. The Company otherwise considers the registration inappropriate.

If its registered information changes, the Tenant shall promptly update it in the manner prescribed by the Company.

Article 4 (Account management)

The Tenant shall manage its Account ID and password appropriately and at its own responsibility.

The Tenant shall not transfer, lend or share its Account with any third party.

The Tenant is responsible for all activity carried out through its Account. If unauthorised use of the Account comes to light, the Tenant shall notify the Company immediately.

The Company may, without notice, delete any Account that does not belong to any Tenant (meaning an Account consisting only of the credentials used to log in and holding no forms, pages, submission data or other Tenant data) once 7 days or more have passed since it was last used. A deleted Account cannot be restored, but the same email address may be used to register again.

Article 5 (Prohibited conduct)

In using the Service, the Tenant shall not engage in any of the following.

  1. Conduct that violates laws and regulations or public order and morals.
  2. Conduct that infringes the intellectual property rights, privacy, reputation or other rights of the Company or any third party.
  3. Collecting personal information without the consent of the End User.
  4. Using the Service to send spam or unsolicited email.
  5. Gaining unauthorised access to, or placing an excessive load on, the systems of the Service.
  6. Reverse engineering, altering or reproducing the Service.
  7. Providing benefits to organised crime groups.
  8. Using the Service for transactions or industries prohibited by payment providers (such as Stripe).
  9. Removing, altering or concealing the Attribution Notice by any means, including CSS, JavaScript or DOM manipulation, on the free plan or any other plan on which hiding the Attribution Notice is not permitted.
  10. Reselling, redistributing, lending or sublicensing the Service or the right to use it to any third party (except where separately permitted by the Company in writing).
  11. Using the Service on the free plan for any purpose other than the Tenant’s own business, including creating or operating forms on behalf of a third party at that party’s request.
  12. Any other conduct that the Company considers inappropriate.

Article 6 (Fees and plans)

The fees for, and the contents of, the plans of the Service are determined separately by the Company and published within the Service or on the Company’s website.

The Tenant shall pay the fees applicable to the plan it has selected by the payment method prescribed by the Company.

Fees already paid are non-refundable, except as required by law.

The Company may change its plans and fees. The Company will notify Tenants of such changes at least 45 days in advance.

The currency used to display and charge fees is determined by the Company according to the country or region of the Tenant’s billing address.

Article 7 (Free plan)

The free plan may be used only for the purposes of the Tenant’s own business, such as the Tenant’s own enquiry, application or order forms.

The free plan is provided AS IS, and the Company makes no warranty of any kind with respect to it, whether express or implied.

Where a Tenant on the free plan has neither logged in to the dashboard nor received any form submission for six months or more, the Company may, after prior notice, suspend the Account (meaning that logging in to the dashboard and receiving form submissions are both stopped).

If use is not resumed within 30 days or more after the suspension described in the preceding paragraph, the Company may, after giving notice of deletion, delete the Account and its related data (including forms, pages and Submission Data). Deleted Accounts and data cannot be restored.

The notices described in the preceding two paragraphs are deemed to have reached the Tenant when they are sent to the registered email address.

Article 8 (Attribution Notice)

The Service may display an Attribution Notice (such as “Powered by FormEdge”) on forms created by the Tenant.

Unless the Tenant subscribes to a paid plan that permits the Attribution Notice to be hidden, the Tenant shall continue to display it and shall not remove, alter or conceal it by any means.

Article 9 (Use for third parties and restriction on resale)

On a paid plan, the Tenant may create and operate forms for third parties (its customers) at its own responsibility. Even in that case, the contractual relationship with the Company in respect of the Service remains with the Tenant, and the Tenant bears all responsibility towards those third parties.

Except where separately permitted by the Company in writing, the Tenant shall not resell, redistribute, lend or sublicense the Service or the right to use it to any third party.

Article 10 (Handling of Submission Data)

The Tenant is responsible for managing the Submission Data sent by End Users to forms on the Service.

The Company processes Submission Data solely for the following purposes.

  1. Providing and operating the Service.
  2. Performing notification functions for the Tenant (webhooks, email, Slack and the like).
  3. Maintaining and improving service quality (limited to aggregation and analysis that does not identify individuals).

Except as required by law, the Company does not provide or sell Submission Data to third parties without the Tenant’s prior consent.

The Tenant is responsible for obtaining the necessary consents from End Users and shall comply with the Act on the Protection of Personal Information and other applicable laws.

The Tenant may export Submission Data from the dashboard until termination. If the Tenant terminates its Account, the Company will delete the Submission Data within 60 days after termination. This does not apply to data that the Company is required by law to retain.

Article 11 (Handling of personal information)

The handling of personal information in the Service is governed by the separately established Privacy Policy.

For Tenants subject to the EU or UK General Data Protection Regulation (GDPR / UK GDPR), the Data Processing Addendum separately established by the Company forms part of these Terms.

Article 12 (Intellectual property rights)

Copyrights, trademark rights and other intellectual property rights relating to the Service belong to the Company or to the rightful owners.

The Tenant retains its rights in the content of the forms it creates through the Service and in the Submission Data.

The Tenant is granted a non-exclusive, non-transferable licence to use the Service within the scope of these Terms.

Article 13 (Disclaimer regarding notification functions)

The Service provides functions for sending notifications to external services such as webhooks, email, Slack and LINE.

The Company is not responsible for any failure or delay of notifications caused by outages of, or specification changes to, external services, or by network failures.

For important data, the Tenant shall not rely solely on notification functions and shall take alternative measures, such as checking the dashboard.

Article 14 (Custom domains)

Where the Tenant uses the custom domain feature of the Service, the Tenant shall configure DNS and manage the domain at its own responsibility.

The Company merely provides the feature and is not responsible for defects, delays or interruptions caused by DNS, SSL/TLS certificates, name resolution or other external providers (such as Cloudflare).

Article 14-2 (Domain registration service)

  1. The Company provides users on paid plans with a service for registering domain names (.com and .net) on their behalf through the registrar Openprovider B.V. (the “Registrar”) (the “Domain Registration Service”).
  2. The registrant of the domain name is the user itself, and the user uses the Domain Registration Service having agreed to the Registrar’s Domain Registration Agreement and Auto Renewal and Domain Deletion Policy, and to the Registrants’ Benefits and Responsibilities established by ICANN.
  3. The user shall provide accurate and up-to-date registrant information and shall complete, within the applicable deadline, the verification of registrant information (email address verification) sent by the Company or the Registrar in accordance with ICANN rules. If it is not completed within the deadline, the domain name may be suspended.
  4. Fees for the Domain Registration Service are annual, and the Company charges the amount it separately determines at the time of the initial registration and once each year thereafter. Unless the user stops automatic renewal in the manner prescribed by the Company, the registration of the domain name is renewed automatically and the renewal fee is charged. If automatic renewal is stopped, the domain name expires at the end of its term.
  5. Once registration with the Registrar has been completed, cancellation and refund at the user’s convenience are not possible. If registration with the Registrar is not completed for reasons not attributable to the Company, the Company will refund the fees it has received.
  6. The Company operates the DNS of the registered domain name on infrastructure it manages, and the user may use that domain name to publish pages and forms created with the Service. The Company does not provide DNS settings for other purposes such as email.
  7. The user may transfer the domain name to another provider in accordance with the procedures established by the Registrar and the registry. If the user terminates its paid plan, the registration of the domain name is maintained, but it can no longer be used for publishing with the Service.
  8. The Company is not responsible where a domain name cannot be registered, renewed or maintained due to circumstances or policy changes of the Registrar, the registry or ICANN, or for any other reason not attributable to the Company, except in the case of the Company’s wilful misconduct or gross negligence.

Article 14-3 (Form payments)

  1. For Tenants on the plans separately determined by the Company, the Company provides a payment flow that allows the Tenant to receive payments from End Users after they submit a form created by the Tenant (“Form Payments”). Form Payments use the facilities of the payment provider Stripe, Inc. and its affiliates (“Stripe”), and payments are made directly to the account that the Tenant opens with Stripe (the “Connected Account”).
  2. A transaction for goods or services concluded through Form Payments is a transaction between the Tenant and the End User. The Company is not a party to that transaction and is not the recipient of the payment. The Tenant, as the seller in that transaction, is responsible for providing the goods or services, for the representations it makes and for responding to enquiries, and any dispute with an End User arising out of that transaction or its payment shall be resolved between the Tenant and the End User.
  3. In order to use Form Payments, the Tenant shall itself agree to, and comply with, the Stripe Services Agreement and the Stripe Connected Account Agreement established by Stripe. Stripe decides whether a Connected Account may be opened, conducts its review and determines whether it may be used, and the Company is not involved in those decisions. Except in the case of the Company’s wilful misconduct or gross negligence, the Company is not liable for any damage suffered by the Tenant as a result of Stripe’s review, including suspension or restriction of the Connected Account or the withholding of payouts.
  4. At present, the Company does not charge any fee on payments made through Form Payments. The payment processing fees determined by Stripe and any other amounts payable to Stripe are borne by the Tenant. If the Company introduces a fee for Form Payments in the future, it will notify Tenants in advance in accordance with the procedure set out in Article 22 (Amendment of these Terms).
  5. The Tenant is responsible for handling refunds, cancellations, claims from End Users and chargebacks (requests to reverse a payment made through a card issuer or similar party). The Company does not provide any refund function; refunds and cancellations are carried out by the Tenant in the Stripe dashboard. Losses and fees arising from chargebacks are borne by the Tenant.
  6. In addition to the matters set out in Article 5 (Prohibited conduct), the Tenant shall not do any of the following in relation to Form Payments.
    1. Use Form Payments for transactions in goods or services falling within the businesses prohibited or restricted by Stripe.
    2. State, without a legal basis for doing so, that a payment qualifies for a charitable deduction or any other tax benefit.
    3. Receive payment for goods or services that the Tenant has no intention or ability to provide.
    4. Receive payment for a transaction in which the seller is a person other than the holder of the Connected Account.
  7. The Tenant shall comply with the laws applicable to it and to the other party to the transaction (in Japan, including the Act on Specified Commercial Transactions, the Consumer Contract Act, the Act against Unjustifiable Premiums and Misleading Representations, and tax legislation). Publishing business information and terms of sale, displaying prices and taxes, issuing receipts and qualified invoices, and paying taxes are all the responsibility of the Tenant. The Company does not warrant that the input fields and public pages provided by the Service satisfy the legal requirements applicable to the Tenant.
  8. The Company may suspend a Tenant’s use of Form Payments without prior notice in any of the following cases.
    1. The Tenant has breached these Terms, or the Company considers that there is a risk of such a breach.
    2. Complaints, refund requests or chargebacks from End Users have arisen in significant numbers.
    3. Stripe has suspended or restricted the Connected Account or taken any other measure in respect of it.
    4. The Tenant’s plan has been changed to a plan that does not include Form Payments.
    5. The Company otherwise considers it necessary for the safe operation of the Service.
  9. A suspension under the preceding paragraph stops the flow that takes End Users to the payment screen after they submit a form; the treatment of the Connected Account and of payments already received is governed by the arrangements between the Tenant and Stripe.
  10. In relation to Form Payments, the Company records the amount, the currency, the quantity, the date and time of the payment and the identifiers issued by Stripe, for the purposes of providing the Service (including matching Submission Data with payments, displaying them in the dashboard and exporting them). Card numbers and other payment instrument details are entered on screens provided by Stripe, do not pass through the Company’s systems, and are not retained by the Company.
  11. The Company merely provides the payment flow for Form Payments and, except in the case of its wilful misconduct or gross negligence, is not liable for any damage suffered by the Tenant or an End User arising from the contents of the transaction between them, the provision of the goods or services, refunds, or any failure, specification change or suspension of the facilities provided by Stripe. The application of this paragraph is subject to Article 19 (Special provisions concerning the Consumer Contract Act).

Article 15 (Change, suspension and discontinuation of the Service)

The Company may change the contents of the Service upon reasonable prior notice to Tenants.

The Company may suspend all or part of the Service without prior notice in the following cases.

  1. Where emergency maintenance of the system is carried out.
  2. Where provision of the Service is difficult due to force majeure such as natural disaster, epidemic or war.
  3. Where the Company otherwise considers it necessary.

If the Company discontinues the Service, it will notify Tenants at least 60 days in advance.

Article 16 (Suspension of use and termination by the Company)

If any of the following applies to a Tenant, the Company may suspend or terminate the Account without prior notice.

  1. The Tenant has breached these Terms.
  2. Payment of fees is 30 days or more overdue.
  3. The Tenant has improperly hidden the Attribution Notice.
  4. The Tenant has resold the Service or engaged in any other conduct prohibited under Article 5.
  5. The Tenant has misused the Service or the Company otherwise considers its conduct inappropriate.

Article 17 (Exclusion of organised crime groups)

The Tenant represents and warrants that it (including, in the case of a corporation, its officers) is not an organised crime group, a member or quasi-member of such a group, a company related to such a group, a corporate racketeer or any other anti-social force (an “Anti-Social Force”), and that it has no relationship with any Anti-Social Force.

If the Tenant breaches the preceding paragraph, the Company may immediately suspend use of the Service or terminate the agreement without any demand.

If the Company suffers damage as a result of such termination, the Tenant shall compensate it, and the Company bears no liability for any damage suffered by the Tenant as a result of that termination.

Article 18 (Disclaimer)

The Company does not warrant that the Service is fit for any particular purpose, that it has the functionality, accuracy or usefulness expected, or that it will be continuously available.

Except in the case of the Company’s wilful misconduct or gross negligence, the Company is not liable for any damage arising from the Tenant’s use of the Service, including loss of data, lost profits or claims by third parties.

Article 19 (Special provisions concerning the Consumer Contract Act)

Where the Tenant is a consumer under the Consumer Contract Act, the provisions of these Terms that exclude or limit the Company’s liability apply only to the extent that they do not conflict with that Act or other mandatory law.

These Terms do not restrict any rights the Tenant has under mandatory law applicable to it.

Article 20 (Limitation of liability)

Where the Company is liable to the Tenant for damages, the amount of compensation is limited to the total fees paid by the Tenant to the Company during the three months preceding the month in which the damage occurred.

This does not apply in the case of the Company’s wilful misconduct or gross negligence.

Article 21 (Governing law and jurisdiction)

These Terms are governed by and construed in accordance with the laws of Japan.

The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute relating to these Terms.

Article 22 (Amendment of these Terms)

The Company may amend these Terms as necessary.

Where the Company makes a material change, it will notify Tenants by email or by notice within the Service at least 45 days before the effective date.

If the Tenant continues to use the Service on or after the effective date, the Tenant is deemed to have agreed to the amended Terms.
